mcaclosers.com and app.mcaclosers.com are operated by Enrichment Capital, LLC (we, us). The site describes a private exchange for merchant cash advance brokers and lets a broker request a seat. We are not a lender, broker-dealer or financial adviser, and nothing on the site is an offer of financing to any merchant or a guarantee of any volume, quality or result to any broker.
Requesting a seat is an application, not a contract. We review every request by hand and may decline for any reason or no reason. A seat exists only when a Seat Agreement has been signed by both sides and the seat has been marked active in the portal.
Members use the portal under their Seat Agreement. In short: files are confidential and may be used only to place financing for that merchant; they may not be shared, resold or submitted outside the member's own shop; every file must be given a status; fundings must be reported with the funder and amount; fees are 2 percent of each funded amount, including renewals for twelve months, due on the Friday after the Monday statement; fundings are verified against public records and merchant calls; and a seat may be frozen or closed for non-payment, an unreported funding, a leaked file, or conduct that harms a merchant or the exchange. You may not scrape, copy or reverse engineer the site or portal, attempt to access another member's files or account, use automated tools against the portal, or use any information from the exchange to contact a merchant outside the exchange. Do-not-call requests must be honoured by everyone.
The MCA Closers name, the ladder mark, the site and the portal are ours. Members receive a limited, revocable licence to use the portal for the purpose of their seat and nothing more.
The site and portal are provided as they are. We do not warrant that files will fund, that the portal will be available at all times, or that information supplied by merchants is accurate. To the fullest extent the law allows, our liability to any visitor or member for anything arising from the site, the portal or the exchange is limited to the fees that member paid us in the three months before the claim.
These terms are governed by the laws of the State of Enrichment Capital, LLC's formation, without regard to conflict of law rules, and disputes are resolved as set out in the Seat Agreement for members and in the courts of that state for everyone else.
